be it RESOLVED, that the offer to purchase the above assets of the Company is hereby accepted by the Managing Member(s); and RESOLVED FURTHER, that the Managing Member of the Company undertake all acts and execute all documents as necessary to consummate said transaction upon its terms.

The undersigned hereby certifies that he/she is the duly elected and qualified Managing Member(s) and the custodian of the books and records and seal of THOMAS & AUBREY, LLC, a limited liability company duly formed pursuant to the laws of the state of An Iowa, and that the foregoing is a true record of resolution duly adopted at a meeting of the Members and that said meeting was held in accordance with state law and the Operating Agreement of the above named Company.
